    • The case involves a dispute between HLLND 2.5, LLC (Plaintiff/Counter-Defendant) and 2500 Receiver, Inc., along with its principal Elliot "Pat" Segall(Defendants/Counter-Plaintiffs) over a Purchase and Sale Agreement (PSA) for the sale of a property located at 2500 East Hallandale Beach Boulevard, Florida. The Plaintiff alleged claims of aiding and abetting breach of fiduciary duty, fraud, and commercial bribery against the Defendants, while the Defendants counterclaimed for breach of contract and breach of promissory notes.   The court found that HLLND 2.5 had actual and apparent authority through its manager, Juan Pablo Lorenzino, to enter into contracts on behalf of the company. The court dismissed the Plaintiff's claims, finding no credible evidence of bribery or fraud. Specifically, the court determined that the alleged "bribe" in the form of promissory notes was not secret, and HLLND 2.5's management was aware of the removal of seller financing from the agreement. The court ruled that the Plaintiff's claim for specific performance was time-barred and found that the Plaintiff failed to prove fraud by a preponderance of the evidence.   The court awarded 2500 Receiver damages totaling $1,409,995.60 for indemnification costs and breach of promissory notes and reserved jurisdiction for further attorney's fees and costs.
